What is Kevin Aluwi's Share Ownership That Will Make Him a Commissioner at GoTo?

Gojek founder and CEO Kevin Bryan Aluwi will transition to the position of commissioner at PT GoTo Gojek Tokopedia Tbk (GOTO). This transition will be decided at the Annual General Meeting of Shareholders (RUPST) on June 28, 2022.

Kevin will replace Caesar Sengupta on the GoTo Board of Commissioners. In this role, he will focus on supporting the development of electric vehicles within the company as part of its commitment to becoming a zero-emission company by 2030.

He will also serve as a member of the Board of Commissioners of Electrum, a joint venture between Gojek and TBS Energi Utama.

As Gojek's founder, Kevin is one of the largest shareholders in GoTo. According to GoTo's financial reports, he holds 0.92% of the shares, including Series B shares, which carry greater voting rights.

Kevin is also a holder of Multiple Voting Shares (SDSHM) in GoTo. SDSHM is a new regulation from the Financial Services Authority (OJK) that allows founders to have more voting rights than other shareholders, even if they hold the same number of shares.

Besides Kevin, other SDSHM holders in GoTo include GoTo Commissioner William Tanuwijaya (2.12% shares), followed by GoTo President Director Andre Soelistyo (1.01%), and GoTo Director Melissa Siska Juminto (0.51%).

Non-SDSHM holders include Taobao China Holding Limited (10.60%), SVF GT Subco (Singapore) Pte. Ltd. (10.44%), Adaro Energy CEO Garibaldi Thohir (0.11%), and other shareholders with less than 5% ownership, totaling 74.29%.
